Terms of Use — Beezifi Identity

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Beezifi Inc. ("Beezifi," "we," "our," or "us") governing your access to and use of the Beezifi Identity service (the "Service") — the centralized authentication and single sign-on platform. By creating an account or accessing the Service, you represent that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 16 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you meet this requirement. The Service is intended for business and professional use. Personal use is permitted only in connection with Beezifi-powered applications.

2. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for:

Maintaining the confidentiality of your password and account credentials
All activity that occurs under your account, whether or not authorized by you
Immediately notifying Beezifi of any unauthorized use of your account at security@beezifi.com

Each account is for a single individual. You may not share your account credentials with any other person. Creating multiple accounts to circumvent any limitation or restriction is prohibited.

3. Acceptable Use

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Transmit malware, viruses, or any malicious code
Conduct automated attacks including brute-force, credential stuffing, or denial-of-service
Scrape, crawl, or harvest data from the Service without prior written consent
Impersonate any person or entity, or misrepresent your affiliation
Interfere with or disrupt the integrity or performance of the Service or its infrastructure
Register OAuth2 applications for fraudulent, deceptive, or abusive purposes
Circumvent, disable, or otherwise interfere with security features of the Service
Use the Service for any purpose that is unlawful or prohibited by these Terms

Beezifi reserves the right to investigate suspected violations and to suspend or terminate accounts found in violation of these Terms without notice or liability.

4. OAuth2 Applications

If you register OAuth2 applications through the Service, you accept full responsibility for those applications' compliance with these Terms, applicable law, and Beezifi's developer guidelines. You must not use OAuth2 credentials to access user data beyond the scope users have explicitly consented to. Beezifi may revoke application credentials at any time for policy violations without notice or liability.

5. Intellectual Property

The Service, including all software, visual design, trademarks, logos, and documentation, is owned by Beezifi Inc. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely as expressly permitted by these Terms. No rights or licenses not expressly granted are conveyed.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described therein.

7. Service Availability

Beezifi will make reasonable efforts to maintain Service availability. However, the Service may be interrupted for maintenance, updates, or reasons beyond our control.

BEEZIFI INC. DOES NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR CONTINUOUS AVAILABILITY OF THE SERVICE. WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY PORTION OF THE SERVICE AT ANY TIME WITHOUT NOTICE OR LIABILITY TO YOU.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY. BEEZIFI INC. DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEEZIFI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF GOODWILL, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR PERSONAL INFORMATION; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BEEZIFI INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BEEZIFI INC.'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BEEZIFI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100). THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT EXPAND THIS LIMIT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Beezifi Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content or data you submit through the Service.

11. Third-Party Services

The Service may integrate with or link to third-party applications and services. Beezifi has no control over third-party services and is not responsible for their content, privacy practices, or terms. Your interactions with third-party services are governed solely by their own terms and policies. Beezifi Inc. disclaims all liability arising from your use of any third-party service.

12. Termination

Beezifi reserves the right to suspend or terminate your account and access to the Service, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraudulent or abusive activity, or extended inactivity. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 8, 9, 10, and 14.

You may terminate your account at any time by contacting privacy@beezifi.com or using account deletion features within the Service.

13. Changes to These Terms

Beezifi may modify these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. The "Last Updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and delete your account.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration conducted in accordance with the rules of the American Arbitration Association, with proceedings held in Washington State, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Washington State to prevent irreparable harm. You waive any right to a jury trial and agree to bring claims only on an individual basis, not as part of any class or representative action.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Security Policy, constitute the entire agreement between you and Beezifi Inc. with respect to the Service and supersede all prior agreements, representations, and understandings.
